These Trade Terms & Conditions (“Terms”) govern all transactions between Prime Foods New Zealand Limited (“we,” “us,” “our”) and our wholesale, retail, or distribution partners (“you,” “your”). By placing an order or entering into a supply arrangement, you agree to be bound by these Terms.

1. Orders
All orders are subject to availability and confirmation. Minimum order quantities may apply. We reserve the right to accept or decline any order at our discretion.

2. Pricing
All prices are quoted in New Zealand Dollars (NZD) unless otherwise stated. Prices are exclusive of GST and freight charges unless specifically mentioned.

3. Payment Terms
Payment terms are strictly as agreed in writing. For approved accounts, payment is due within the agreed number of days from invoice date. Late payments may incur interest and/or account suspension.

4. Delivery & Risk
Delivery timelines are indicative only. Risk and ownership of goods transfer to the buyer upon dispatch or collection, unless otherwise agreed in writing.

5. Claims & Returns
Claims for shortages, damage, or discrepancies must be notified in writing within 48 hours of delivery. Approved returns will be replaced or credited at our discretion.

6. Product Information
We strive to ensure product details and images are accurate. However, variations may occur due to changes in packaging or supplier updates.

7. Limitation of Liability
Our liability is limited to the replacement of goods or refund of the invoiced amount for defective products. We are not liable for indirect or consequential losses.

8. Governing Law
These Terms are governed by the laws of New Zealand, and both parties submit to the jurisdiction of New Zealand courts.
